Operation of the B.R.M. Group of Companies:
The B.R.M. Group of Companies is entitled to organize in Azerbaijan and overseas the subsidiary (affiliated) enterprises with the legal entity status as well as branches and representative offices in compliance with the provisions stipulated by the relevant laws of Azerbaijan Republic and foreign nations.
I. The member companies of the B.R.M. Group of Companies within the authorities granted to them are entitled to have representations in the governmental and nongovernmental organizations and safeguard their interests.
II. The B.R.M. Group of Companies prepares and approves the business plans and controls implementation of the above for the member companies.
III. The B.R.M. Group of Companies prepares and approves the cost and revenue estimates and controls implementation of the above.
IV. The B.R.M. Group of Companies controls fulfillment of its obligations incurred within the contracts signed with the enterprises and companies.
V. The B.R.M. Group of Companies discusses the annual operation programs of the member companies and enterprises, reviews and approves the cost and revenue estimates and controls implementation of the above.
VI. The B.R.M. Group of Companies receives, discusses and assesses through approval the annual reports of the member companies and enterprises.
VII. The B.R.M. Group of Companies approves appointments and resignations of the directors of the member companies and enterprises provided that proposals of the founders have been taken into consideration.
VIII. The B.R.M. Group of Companies is entitled to conduct analyses and audits in the member companies and enterprises with taking into account the consent of the founders and provided that such analyses and audits would not disturb the production processes in the company (or enterprise)
IX. The B.R.M. Group of Companies is entitled to prepare and submit for discussion any projects, business plans, programs, etc. related to the issues of enlargement, development, etc. of any member company or enterprise.
X. The B.R.M. Group of Companies is entitled to represent the member companies as a Group.
XI. The B.R.M. Group of Companies is entitled to grant additional rights and obligations to the member companies and enterprises on the grounds of the decisions of the Meetings of the Board provided that the consent of the founders is available.
